Article I

Purposes of Policy

Section I. The purpose of this charitable, non-profit, tax-exempt [501 (c) (3)] organization is to provide temporary shelter for dogs caught by the city of Bruce and others known to be in immediate danger of death.

Section II. It is the policy of the organization to provide loving care for these homeless dogs, to return lost dogs to their owners, and to educate the community for the need of spraying/neutering dogs. No animal under the protection of the organization may be euthanized unless it viciously attacks a human being.

Article II

Headquarters and Branches
The principle office of the DLL will be located within the city of Bruce, MS. An overflow branch will be located at 370 CR 125 Bruce, MS. More branches may be established and maintained elsewhere as needed.

Article III

MEMBERS

Section I. Members are not required to live in Bruce, MS. No person convicted of cruelty or neglect to animals or is known to participate in dog fighting is allowed to be a member.

Section II. The Executive Board of Directors may expel any member at any time for any reasonable cause.

Section III. Voting members must be at least 16 years of age and must present to vote. Decisions will be determined by a majority vote.

Section IV. A monthly meeting will be held at 5:30 p.m. on the first Monday of each month at the Saving Grace No-Kill Shelter.

Section V. Officers are to be elected at the January meeting of each year. The offices of President, Vice President, Secretary, Treasurer, Public Relations Coordinator, Fundraiser Coordinator, Scrapbook/Historian, shall be elected. These shall also serve as the Executive Board of Directors. Elected officers shall not serve more than three consecutive years.

Section VI: Members shall receive no compensation for their volunteer work; however, they may be reimbursed for any expenses incurred while performing a task for the shelter.

Article IV.

Amendments

Section I. These bylaws may be amended by a majority vote present at the first annual meeting.

Article V.

Dissolution

Section I. The organization may not be dissolved by less than a two-thirds majority vote of the members.

Section II.

Distribution of Funds and Property

Any property given for use by the shelter shall revert back to their previous owners. Supplies and funds will be donated to another no-kill shelter.
